1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and InterLines LLC ("InterLines USA," "Company," "we," "us," or "our") governing your access to and use of the www.interlines.us website and all related services (collectively, the "Services").

3. User Accounts

3.1 Account Creation

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.

4. Use of Services

5. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.

5.3 Restrictions

You may not copy, modify, distribute, sell, lease, or create derivative works based on our Services or any content without our prior written consent.

6. Service Agreements

Specific logistics, transportation, and technology services are governed by separate service agreements, quotes, or contracts. In the event of a conflict between these Terms and any specific service agreement, the specific service agreement shall prevail for that particular service.

7. Fees and Payment

7.1 Pricing

Fees for our Services are set forth in individual quotes, proposals, or service agreements. All fees are quoted in U.S. dollars unless otherwise specified.

7.2 Payment Terms

Payment terms are specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may be subject to interest charges.

7.3 Taxes

You are responsible for all applicable taxes, duties, and fees associated with the Services, except for taxes based on our net income.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives termination of these Terms.

9. Disclaimers

9.1 "As Is" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee specific delivery times, transit times, or outcomes.

10. Limitation of Liability

10.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERLINES USA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

10.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10.3 Carrier Liability

Liability for loss or damage to cargo during transportation is governed by applicable international conventions, carrier tariffs, and specific service agreements.

11. Indemnification

You agree to indemnify, defend, and hold harmless InterLines USA and our officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, violation of these Terms, or violation of any rights of a third party.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Chicago, Illinois, in accordance with the rules of the American Arbitration Association.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and InterLines USA regarding the Services and supersede all prior agreements and understandings.
